1. Introduction and Acceptance

These Terms and Conditions govern your use of Focal Events' services and website. By engaging our event organization services or using our website, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our services.

These terms constitute a legally binding agreement between you (the "Client") and Focal Events (the "Company," "we," "us," or "our").

2. Definitions

  • "Services" refers to event organization services including Strategy Sessions, Venue Sourcing, and Production Coordination as described on our website and in service agreements.
  • "Client" means any individual or organization engaging our services.
  • "Event" means any occasion, gathering, or production for which services are provided.
  • "Agreement" means these Terms and Conditions together with any service-specific terms outlined in proposals or contracts.
  • "Website" refers to focalevars.live and all associated pages and functionality.

3. Service Engagement

3.1 Service Selection

Clients may engage individual services or combinations based on their needs. Each service has specific deliverables as outlined in our service descriptions and confirmed in written proposals.

3.2 Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information about event requirements
  • Timely communication and decision-making as required
  • Payment of invoices according to agreed terms
  • Compliance with venue rules and regulations
  • Obtaining necessary permits, licenses, or approvals for their event

3.3 Our Responsibilities

We commit to:

  • Providing services professionally and in accordance with industry standards
  • Maintaining confidentiality of client information
  • Communicating clearly about project status and any issues
  • Delivering services as specified in written agreements

4. Use of Services

4.1 Permitted Use

Our services are intended for legitimate event organization purposes. Clients must be at least 18 years of age or have legal authority to enter into binding agreements on behalf of an organization.

4.2 Account Information

Clients must provide accurate information when engaging services. You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

5. Prohibited Activities

When using our services or website, you must not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Provide false or misleading information
  • Engage in fraudulent activities or misrepresentation
  • Use our services for events that violate laws or promote harm
  • Attempt unauthorized access to our systems or networks
  • Interfere with or disrupt our services or servers
  • Use automated systems to scrape or data mine our website

6. Intellectual Property

6.1 Company Property

All content on our website, including text, graphics, logos, and software, is owned by Focal Events and protected by Singapore and international copyright laws. You may not reproduce, distribute, or create derivative works without written permission.

6.2 Client Materials

Clients retain ownership of materials they provide. By engaging our services, clients grant us license to use their materials solely for providing agreed services.

6.3 Work Product

Recommendations, venue research, and other deliverables created specifically for your project become your property upon full payment. We retain the right to use anonymized case studies for marketing purposes.

7. Payment Terms

7.1 Currency and Pricing

All fees are quoted and payable in Singapore Dollars (SGD). Prices for Strategy Sessions, Venue Sourcing, and Production Coordination are as published on our website or as specified in written proposals.

7.2 Payment Timing

Payment terms vary by service. Strategy Sessions require payment before the consultation. Venue Sourcing typically requires 50% deposit upon engagement. Production Coordination follows milestone-based payment as outlined in service agreements.

7.3 Accepted Payment Methods

We accept bank transfers, corporate checks, and credit card payments. Payment processing fees may apply to certain payment methods.

7.4 Late Payment

Invoices are due within 14 days unless otherwise specified. Late payments may incur interest charges of 1.5% per month. We reserve the right to suspend services for accounts with overdue payments.

7.5 Taxes

All fees are exclusive of applicable taxes. Goods and Services Tax (GST) will be added to invoices as required by Singapore tax regulations.

8. Cancellation and Refund Policy

8.1 Client Cancellation

Cancellation terms vary by service:

  • Strategy Sessions: Full refund if cancelled 48 hours before scheduled time. No refund for later cancellations.
  • Venue Sourcing: 50% refund if cancelled before research commences. No refund once shortlist is provided.
  • Production Coordination: Refund based on work completed and commitments made to suppliers. Specific terms outlined in service agreement.

8.2 Company Cancellation

We reserve the right to cancel services if client violates these terms, provides false information, or if circumstances make service delivery impractical. Full refund of payments made will be provided in such cases.

8.3 Refund Processing

Approved refunds are processed within 14 business days to the original payment method. Refunds do not include third-party costs already incurred on client's behalf.

9. Service Limitations and Disclaimers

9.1 "As Is" Provision

Services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific event outcomes, attendance figures, or other results beyond our direct control.

9.2 Third-Party Services

When we engage third-party vendors (venues, technical suppliers, etc.) on your behalf, we exercise reasonable care in selection. However, we are not responsible for their performance, quality, or failures.

9.3 Force Majeure

We are not liable for failure to perform services due to circumstances beyond our reasonable control, including natural disasters, government restrictions, pandemics, labor disputes, or technical failures.

10. Limitation of Liability

To the maximum extent permitted by Singapore law:

  • Our total liability for any claim related to our services shall not exceed the amount paid by the client for the specific service giving rise to the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for damages arising from client's failure to follow recommendations or provide accurate information
  • Time limits for bringing claims are governed by applicable Singapore statutes of limitations

Nothing in these terms excludes liability for fraud, gross negligence, or violations of mandatory consumer protection laws.

11. Service Modifications and Changes

Changes to service scope must be documented in writing and agreed by both parties. Additional work beyond original agreements will be quoted separately. We strive to accommodate reasonable change requests but cannot guarantee availability of venues or suppliers if requirements change significantly.

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the service relationship. This obligation survives termination of services. Confidential information does not include data that is publicly available or independently developed.

13. Termination

13.1 Termination by Client

Clients may terminate services according to cancellation terms outlined in Section 8. Termination does not relieve payment obligations for work already completed.

13.2 Termination by Company

We may terminate services immediately if client breaches these terms, fails to make required payments, or if continuing services would violate laws or professional standards.

13.3 Effects of Termination

Upon termination, we will provide completed work and return client materials. Obligations regarding confidentiality, intellectual property, and payment survive termination.

14. Dispute Resolution

14.1 Informal Resolution

Before pursuing formal action, parties agree to attempt good faith resolution of disputes through direct communication.

14.2 Mediation

If informal resolution fails, parties agree to attempt mediation before commencing legal proceedings. Mediation costs will be shared equally.

14.3 Governing Law and Jurisdiction

These terms are governed by the laws of Singapore. Any legal proceedings shall be brought in the courts of Singapore, and parties consent to exclusive jurisdiction of those courts.

15. General Provisions

15.1 Entire Agreement

These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between parties regarding services. Oral statements or prior communications do not modify these terms.

15.2 Severability

If any provision is found unenforceable, remaining provisions continue in full effect. Unenforceable provisions will be modified to the minimum extent necessary to make them enforceable.

15.3 No Waiver

Failure to enforce any right or provision does not constitute waiver of that right. Waivers must be in writing to be effective.

15.4 Assignment

Clients may not assign or transfer their rights under these terms without written consent. We may assign our rights and obligations to affiliated entities or successors in business.

15.5 Notices

Legal notices must be sent in writing to the addresses listed in the Contact section below. Notices sent by email to designated addresses are considered valid.

16. Updates to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website with an updated effective date. Continued use of services after changes indicates acceptance of modified terms. Material changes affecting active service agreements will be communicated directly to affected clients.
